These Terms of Service govern your use of chicagotraders.us and your purchase of goods from Chicago Traders. By using this website or placing an order, you accept these terms. If you do not accept them, please do not use the site.
- Who we are
Chicago Traders is an exporter of United States-grown rice, operating from 952 Tabacco Ln, Suite 456, Bentonville, Arkansas 72712, United States. Throughout these terms, “we”, “us” and “our” mean Chicago Traders, and “you” means the person or business using the site or buying from us.
- Business-to-business sales
We sell to businesses. By placing an order you confirm that you are acting in the course of a trade or profession, that you are authorised to bind the company you represent, and that you are not purchasing as a consumer. Consumer protection rules that apply to retail sales do not apply to these transactions.
- Website content
Information on this site — including specifications, grades, packing options, capacities and indicative prices — is provided for general guidance. It is an invitation to enquire, not a binding offer. Specifications and availability change with the crop year and market conditions. Only a signed contract or a proforma invoice issued by us constitutes a binding offer.
We take care to keep the site accurate but do not warrant that it is free from error or omission.
- Quotations and orders
Quotations are valid for the period stated on the offer and are subject to prior sale and to confirmation of stock and freight at the time of acceptance. An order becomes binding when a proforma invoice or sales contract is signed by both parties and the agreed payment instrument is established.
We reserve the right to decline any order, including where we cannot verify the buyer, where the destination is subject to sanctions or export restrictions, or where the requested specification cannot be met.
- Prices and payment
Prices are quoted in United States dollars on the Incoterms basis stated in the offer and exclude destination duties, taxes and charges unless expressly included. Payment terms are those set out in the contract — typically an irrevocable letter of credit at sight, telegraphic transfer, or cash against documents.
Title to the goods passes only on receipt of payment in full and cleared funds. Risk passes in accordance with the agreed Incoterm, which may be earlier than the passing of title.
Overdue amounts may attract interest at 1.5 percent per month or the maximum permitted by law, whichever is lower, together with reasonable costs of recovery.
- Delivery and returns
Delivery is governed by our Shipping and Delivery Policy, and claims and cancellations are governed by our Return and Refund Policy. Both form part of these terms and should be read alongside them.
- Compliance, sanctions and export control
You confirm that you will comply with all applicable export control, sanctions, anti-bribery and anti-money-laundering laws, that you will not resell or divert goods to any sanctioned party or territory, and that you will provide any documentation we reasonably require to satisfy our own compliance obligations. We may suspend or cancel an order at any time if compliance concerns arise, without liability.
- Intellectual property
All content on this site — including the Chicago Traders name, logo, text, photographs, graphics and layout — is our property or is used under licence, and is protected by copyright and trade mark law. You may not copy, reproduce, republish or use any of it commercially without our prior written consent.
- Acceptable use
You agree not to use this site for any unlawful purpose, not to attempt to gain unauthorised access to any part of it or to any connected system, not to introduce malicious code, and not to extract data from it by automated means without our permission.
- Third-party links
The site may link to third-party websites. We do not control them and are not responsible for their content, security or practices.
- Limitation of liability
To the fullest extent permitted by law, we are not liable for indirect, incidental, special or consequential loss, including loss of profit, loss of onward contracts, loss of goodwill or business interruption, however arising. Our total aggregate liability in connection with any shipment shall not exceed the invoice value of that shipment.
Nothing in these terms excludes liability for fraud, fraudulent misrepresentation, or any liability that cannot lawfully be excluded.
- Force majeure
Neither party is liable for failure or delay in performance caused by events beyond its reasonable control, as set out in our Shipping and Delivery Policy.
- Changes to these terms
We may update these terms from time to time. The version published at the date of your contract governs that contract. Continued use of the site after an update constitutes acceptance of the revised terms.
- Governing law and disputes
These terms are governed by the laws of the State of Arkansas, United States. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Disputes not resolved by negotiation shall be referred to arbitration under the rules of the American Arbitration Association, seated in Arkansas, unless otherwise agreed in writing.
